Commercial Entities in UAE require Limited Liability Company to have at least one or more Local/Emirati Partners. The Local Partner must own a minimum of 51% of the shares in a Limited Liability Company. With the following release of the UAE Federal Law No. 19 of 2018 on Foreign Direct Investment, the UAE Cabinet announced the positive list of activities covered by the FDI Law, which allows up to 100% foreign ownership.

A Professional License / Civil Company is a business for professionals in recognized fields such as Lawyers, Accountants, Engineers, consultants, etc. The owners / partners (expats) retain 100% ownership of the company’s shares. This, however, does not mean that the local sponsor requirement is waived off. The requirement still holds and a professional license / civil company require a Local Service Agent to complete the formalities. A local service agent doesn’t have any equity participation or liability in the business. The role of the Local Service Agent is limited to obtaining a license, visa, and labor card.
Foreign Branch Office / Representative Office in Mainland
Foreign Branch Office
A branch office in Dubai is an extension of a foreign parent company that is located outside of the UAE. It is a full-fledged business, permitted to perform contracts or conduct other activities as specified in its license. A foreign Branch Office may only engage in activities similar to those of its parent company.
The purpose of setting up a branch office in Dubai is to promote and market the products of the parent company, undergo business transactions, forge its agreements with other businesses under the name of the parent company and provide services to its customers. It is ideal for highly regulated sectors such as Banking, Financial Services and Insurance.
Representative Office
If a foreign company is looking for exposure to the UAE market, they can set up a Representative Office on the mainland. The role of a Representative Office is limited to the promotion of products and services of the parent company and it is not allowed to conduct business in Dubai.
